Acceptance of Terms and Conditions of Use
These terms and conditions of use for EDUCATION ONLINE INC. constitute a legal agreement entered into by and between “User,” “You,” or “Your” — meaning a person, organization, or entity using the Services, including Parents and Teachers — and EDUCATION ONLINE INC (“EDUCATION ONLINE,” “Company,” “we,” “us,” “our”). The following terms and conditions, together with any documents and/or additional terms expressly incorporated by reference (collectively, these “Terms and Conditions”), govern your access to and use of the content, functionality, and services offered on or through our website and mobile app (collectively, “Sites”).
By using EDUCATION ONLINE or by clicking to accept the Terms and Conditions, you accept and agree to be bound by and comply with these Terms and Conditions and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms and Conditions or the Privacy Policy, you must not access or use EDUCATION ONLINE.
By using EDUCATION ONLINE, you represent and warrant that you are of the legal age of majority under applicable law to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use EDUCATION ONLINE.
Key Terms
“User,” “you,” or “your” means a person, organization, or entity using the Services, including Parents and Teachers.
“Parent(s)” means a parent or legal guardian who completes EDUCATION ONLINE’s account registration process to purchase Classes for the purpose of enrolling their child.
“Teacher(s)” means a person who completes EDUCATION ONLINE’s account registration process, or an organization that executes an agreement with EDUCATION ONLINE, to provide Classes on the Site.
“Class(es)” means any online class(es) submitted by a teacher on the Site.
Modifications to the Terms and Conditions
We reserve the right, in our sole discretion, to revise and update these Terms and Conditions from time to time. Any modifications are effective immediately upon posting and apply to all access to and continued use of EDUCATION ONLINE. You agree to periodically review these Terms and Conditions; continued use constitutes acceptance of any modifications.
The information and material on EDUCATION ONLINE may be changed, withdrawn, or terminated at any time in our sole discretion without notice. We will not be liable if all or any part of the Website is restricted or unavailable at any time or for any period.
Your Use and Account Set-Up and Security
We are an EdTech company dedicated to providing personalized one-on-one tutoring services through an innovative online video conferencing platform that helps learners across various subject areas. EDUCATION ONLINE operates using state-of-the-art Enterprise Resource Planning (ERP) software, a centralized system encompassing all essential aspects of online teaching on one platform. EDUCATION ONLINE classes are powered by video conferencing platforms including Zoom and others.
The security of your personal information is very important to us. We use physical, electronic, and administrative measures designed to secure your personal information from accidental loss and unauthorized access, use, alteration, and disclosure.
Safety and Security: The safety and security of your information also depends on you. Users are responsible for obtaining their own access to EDUCATION ONLINE and for ensuring that anyone accessing it through their internet connection is aware of, and complies with, these Terms and Conditions. It is a condition of use that all information you provide is correct, current, and complete.
Transmission of information via the internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee its security, and any transmission is at your own risk. We are not responsible for circumvention of any privacy settings or security measures on EDUCATION ONLINE.
Your provision of registration information and any submissions through applications, chat rooms, email, message boards, profiles, forums, bulletin boards, and other functions constitutes your consent to all actions we take with respect to such information consistent with our Privacy Policy.
Password and Security: Any username, password, or other information chosen by you, or provided to you as part of our security procedures, must be treated as confidential and not disclosed to anyone. Exercise caution when accessing your account from a public or shared computer. Your account is personal to you, and you agree not to provide others with access using your credentials. You agree to notify us immediately of any unauthorized access or breach of security, and to log out of your account at the end of each session. You are responsible for any password misuse or unauthorized access.
We reserve the right, at any time and for any or no reason, to disable or terminate your account, username, password, or other identifier in our sole discretion, including for any violation of these Terms and Conditions.
Recordings: Classes, meetings, chats, SMS, and calls held through our video conferencing platform and online portal are recorded automatically. We use recordings sparingly to respect learner and teacher privacy. Recordings are made available only to the Teacher teaching the Class, to (1) provide a viewable copy to learners who missed the class or wish to review it, and (2) personally review the recording to improve their classes. Where a “Teacher” is an organization or team, the organization may have access to recordings rather than a single instructor. EDUCATION ONLINE may also use recordings to provide feedback to Teachers, develop our Services, provide customer support, and for compliance purposes. We may delete recordings (a) at a Parent’s request to delete their child’s personally identifiable information, or (b) where we determine a recording should be removed to protect user privacy or due to a violation of these Terms. Without your prior written approval, we will not use recordings, including photos of you or your children, for promotional purposes. By using the Services, you consent to you and/or your child appearing in Class recordings, meetings, chats, SMS, and calls for the limited purposes set forth above.
You are prohibited from attempting to circumvent or violate the security of the Site, including: accessing content and data not intended for you; breaching or attempting to breach security or authentication measures; restricting, disrupting, or disabling service to users, hosts, servers, or networks; illicitly reproducing TCP/IP packet headers; disrupting network services or our ability to monitor the Site; using any robot, spider, or automated process to access the Site; introducing viruses, trojan horses, worms, logic bombs, or other harmful material; attacking the Site via denial-of-service or similar attacks; or otherwise interfering with the proper working of the Site.
Certain Teacher Obligations
Community Standards: You agree to obey our policies, including community standards, when you join the EDUCATION ONLINE community. These standards include communicating thoughtfully and professionally with colleagues, parents, and children; modeling proper conduct for learners; and acting professionally on social media, blogs, and other online forums. Inappropriate behavior includes posting online or speaking to the media on EDUCATION ONLINE’s behalf without prior written authorization; posts deemed offensive based on race, sex, age, gender, sexual orientation, gender identity or expression, national origin, disability or medical condition, veteran status, or any other legally protected characteristic; postings detrimental to our business operations; sharing content that includes or supports hate speech, threats of violence, or child endangerment; and any other violation of our community standards.
Learner Safety: Any suspected incidence of child abuse or neglect that a teacher becomes aware of while working with an EDUCATION ONLINE Learner must be reported to EDUCATION ONLINE. We define “abuse or neglect” as any recent act or failure to act on the part of a parent or caretaker resulting in emotional injury, abuse, or exploitation, or any act or failure to act presenting an imminent danger of serious harm. We expect all teachers to fulfill their reporting obligations, and we may report suspected cases of abuse or neglect as we consider necessary.
Intellectual Property Rights and Ownership
EDUCATION ONLINE and its entire contents, features, and functionality — including all information, software, code, data, text, displays, graphics, photographs, images, video, audio, music, broadcasts, design, presentation, website layout, selection, and arrangement — are owned by the Company, its licensors, or other providers and are protected by intellectual property laws, including copyright, trademark, patent, trade secret, and other proprietary rights.
The Company name, trademarks, logo, and all related names, logos, product and service names, designs, images, and slogans are trademarks of the Company, its affiliates, or licensors. You must not use these marks without prior written permission. Other names, logos, and marks appearing on EDUCATION ONLINE belong to their respective owners. Unauthorized use may constitute infringement and could result in legal action.
You may only use EDUCATION ONLINE for personal and non-commercial use. You must not reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on EDUCATION ONLINE, except: (a) your computer and browser may temporarily cache materials being accessed; (b) you may print a reasonable number of copies for personal, non-commercial, lawful use, keeping any proprietary notices intact; and (c) you may download one single copy for personal, non-commercial use, subject to our end user license agreement for such downloads.
You must not modify copies of any materials, or delete or alter any copyright, trademark, or proprietary notices. You must not access or use any part of the Site, or any services or materials available through it, for commercial purposes. If you print, copy, or download any part of the Site in breach of these Terms, your right to use EDUCATION ONLINE will cease immediately and, at our option, you must return or destroy any copies made. You have no right, title, or interest in EDUCATION ONLINE or any content on the Site, and all rights not expressly granted are reserved by the Company.
Conditions of Use, User Submissions, and Site Content Standards
As a condition of access and use, you agree to use EDUCATION ONLINE only for lawful purposes and in accordance with these Terms and Conditions. The following standards apply to any content, material, or information a user submits, posts, publishes, displays, or transmits to EDUCATION ONLINE or other users (“User Submissions”), and to any interactive functions. All User Submissions must comply with applicable federal, provincial, local, and international laws, regulations, and terms of service.
You warrant and agree that your use of EDUCATION ONLINE and any User Submissions shall not:
- Violate any applicable law or regulation, including those regarding export of data or software, intellectual property, or the rights of publicity and privacy of others, or contain material that could give rise to civil or criminal liability, or conflict with these Terms and Conditions or our Privacy Policy.
- Violate the terms of use of any third-party website linked to EDUCATION ONLINE, including social media websites.
- Include material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, age, or other legally prohibited grounds, or otherwise objectionable as determined in our sole discretion.
- Involve stalking, attempting to exploit or harm any individual (including minors) by exposing them to inappropriate content, or requesting personal information as prohibited by applicable laws or regulations.
- Involve, provide, or contribute any false, inaccurate, or misleading information.
- Send, knowingly receive, upload, download, use, or reuse material that does not comply with these Site Content Standards.
- Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
- Transmit or procure the sending of advertisements, promotions, “spam,” “junk mail,” “chain letters,” contests, sweepstakes, or other commercial solicitations without our prior written consent.
- Encourage conduct that restricts or inhibits anyone’s use or enjoyment of EDUCATION ONLINE, or that, as determined by us, may harm the Company or users or expose them to liability.
- Cause annoyance, inconvenience, or needless anxiety, or be likely to upset, embarrass, or alarm any other person.
- Promote any illegal activity, or advocate, promote, or assist any unlawful act.
- Give the impression that submissions originate from or are endorsed by us or any other person or entity, when this is not the case.
